Terms of Service

1. Acceptance

By accessing or using Lagible you (the “User”) enter into a binding agreement with AOC (“Lagible”, “we”, “us”) on these Terms. Acceptance occurs at the earliest of: signing in, connecting an inbox, paying a subscription, or otherwise using the service. These Terms incorporate by reference the Privacy Policy, the Data Processing Addendum, and the security commitments on the Security page.

2. Service description

Lagible connects to your Gmail or Google Workspace inboxes via OAuth and renders the conversations as chronological chat threads with optional AI summary and Q&A. The current feature set is described on lagible.com and /pricing. We may add, modify, or remove features in our reasonable discretion. Material removals affecting paid features will be notified 30 days in advance.

3. Your account and responsibilities

• You must be at least 18 years old (or the age of majority in your jurisdiction).
• You must provide accurate registration information.
• You must keep your credentials secret and notify ayushopchauhan@gmail.com on any suspected compromise.
• You are responsible for all activity under your account.
• You may only connect inboxes that you own or are authorised to access. Connecting third-party inboxes without authorisation is a material breach.
• You must not share your account with another person. Multi-user use of one paid seat is a material breach and grounds for suspension.

4. Acceptable use

You agree NOT to use Lagible to:

• Send unsolicited bulk email (spam) that violates CAN-SPAM, CASL, GDPR, ePrivacy, India's IT Rules, or any applicable anti-spam law. The fact that Lagible renders email you already received does not authorise outbound sending that violates law. If you use connected accounts for outbound outreach (even outside Lagible), you remain responsible for that compliance.
• Engage in harassment, threats, doxxing, or other unlawful conduct via email connected to Lagible.
• Scrape Lagible at a rate designed to defeat rate limits, or attempt to derive other users' data.
• Reverse engineer, decompile, or extract source code from Lagible client or server.
• Resell, white-label, or sublicense the service without a written agreement.
• Connect any inbox you are not authorised to access.
• Use the service to violate any applicable export-control, sanctions, or trade law.
• Submit content that infringes third-party IP, defames, or violates third-party privacy.
• Probe, scan, test for vulnerabilities, or breach security on the service except through the responsible-disclosure process documented on the Security page.

Violation is grounds for immediate suspension. Material or repeated violation is grounds for termination without refund. We reserve the right to cooperate with law enforcement in jurisdictions where required.

5. Intellectual property

Your content: you retain all rights to your email content. You grant Lagible a limited, non-exclusive, royalty-free license to access, process, store, and display your content solely to provide the service as described in these Terms and the Privacy Policy. We do not claim ownership of anything you bring to or store in the service.

Lagible IP: the Lagible name, logo, software, designs, algorithms, and documentation are the IP of AOC (or its licensors). These Terms grant you a limited, non-transferable, revocable license to use the service per these Terms. No other rights are granted, expressly or by implication.

Feedback: if you submit feedback, suggestions, or feature requests (including via the public roadmap), you grant Lagible a perpetual, irrevocable, royalty-free license to use that feedback without obligation.

6. Subscriptions, trials, and billing

• Lagible offers paid plans listed on /pricing. Prices are stated in US dollars. Taxes are added where required by law.
• A 7-day free trial is offered to new accounts. The trial requires a valid card on file. A reminder email is sent on day 4. You may cancel before day 8 to avoid any charge.
• Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, until cancelled.
• You can cancel at any time from Settings. Cancellation takes effect at the end of the current paid period; you retain access through the period you paid for.
• No refunds for partial periods. Refunds for full periods are discretionary and require contact with ayushopchauhan@gmail.com.
• Price changes are notified by email at least 30 days in advance and take effect at your next renewal. You can cancel before the change takes effect.
• Payment processing is handled by Razorpay. Card data is held by Razorpay's PCI-DSS environment. We do not store full card numbers.
• Failed charges trigger up to 3 retry attempts over 7 days, then suspension. Reactivation is by updating the card and paying any outstanding balance.

7. Suspension and termination

We may suspend or terminate your account for: material breach of these Terms, non-payment after the retry window, abuse of the service, fraud, or use that creates legal risk to Lagible or other users. Except in cases of fraud, abuse, or legal urgency, we will give you reasonable notice (typically 7 days) and an opportunity to cure.

On termination: your account access ends, your inboxes are disconnected, and your data enters the 24-hour purge described in the Privacy Policy. You may request a JSON export within 7 days of termination and before the purge completes by emailing ayushopchauhan@gmail.com.

8. Indemnification

You agree to defend, indemnify, and hold harmless Lagible and AOC from and against any third-party claims, damages, costs, and reasonable attorneys' fees arising from: (a) your breach of these Terms, (b) your violation of any applicable law, (c) your content or your use of the service that infringes third-party rights, (d) your unauthorised access to any inbox you connected.

We agree to defend, indemnify, and hold harmless you from and against any third-party claim that the Lagible service, as provided, infringes the third party's intellectual property rights, provided you notify us promptly, cooperate in defence, and allow us to control the defence and settlement. Our total indemnification obligation is capped at the limitation in Section 10.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, express or implied, including but not limited to merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or course of performance.

We do not warrantthat the service will be uninterrupted, timely, secure, or error-free; that the results obtained from the service will be accurate or reliable; that any errors will be corrected; or that AI summaries or Q&A outputs are accurate, complete, or fit for any particular use. AI outputs may contain errors, omissions, and hallucinations. Do not rely on them as sole evidence for any consequential decision.

Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, the warranties above are excluded to the maximum extent permitted by law.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAGIBLE'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO LAGIBLE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) US$100.

UNDER NO CIRCUMSTANCES IS LAGIBLE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, LOST EMAILS, COST OF SUBSTITUTE SERVICE, OR LOSS OF GOODWILL, even if advised of the possibility of such damages and even if a remedy fails of its essential purpose.

Exceptions: the limitations in this Section 10 do not apply to (i) your indemnification obligations under Section 8, (ii) your obligation to pay fees, (iii) your breach of Sections 4 (acceptable use) or 5 (Lagible IP), or (iv) liability that cannot be limited under applicable law.

Some jurisdictions do not allow exclusion or limitation of certain damages. In those jurisdictions, liability is limited to the maximum extent permitted by law.

11. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. For users resident in India, courts in Vadodara, Gujarat have exclusive jurisdiction over non-arbitrable disputes.

International users: any dispute arising from or related to these Terms or the service that is not first resolved under Section 12 (Dispute resolution) shall be finally resolved by arbitration under the rules of the Singapore International Arbitration Centre (SIAC) by a single arbitrator. Seat: Singapore. Language: English. Each party bears its own costs unless the arbitrator awards costs.

12. Dispute resolution

Before filing arbitration or litigation, you agree to attempt informal resolution by emailing ayushopchauhan@gmail.com with a description of the dispute and the remedy sought. We agree to attempt the same. If the dispute is not resolved within 30 days of the email, either party may proceed to the forum identified in Section 11.

No class actions: to the extent permitted by law, you agree to resolve disputes individually, not as part of a class, consolidated, or representative action.

13. Modification of Terms

We may modify these Terms. Material changes (changes to liability, IP, billing, acceptable use, dispute resolution) take effect 30 days after we notify your billing contact by email. Non-material changes (clarifications, contact-detail updates) take effect immediately on posting. Continued use of the service after the effective date is acceptance of the modified Terms. If you do not accept the modified Terms, cancel before the effective date.

14. Survival, severability, entire agreement

Survival: Sections 5 (IP), 8 (Indemnification), 9 (Disclaimer), 10 (Limitation), 11 (Governing law), 12 (Dispute resolution), 14 (Survival), and 15 (Miscellaneous) survive termination.

Severability: if any provision is held unenforceable, the rest remain in effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.

Entire agreement: these Terms, the Privacy Policy, the DPA, and the Security page commitments are the entire agreement between you and Lagible regarding the service, and supersede any prior agreements.

No waiver: failure to enforce any provision is not a waiver of the right to do so later.

No third-party beneficiaries: these Terms do not confer rights on any third party.

Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms to a successor in interest as part of a merger, acquisition, or sale of substantially all assets, with notice to you.

15. Miscellaneous

• Notices to you: email to the billing or account contact on file. You are responsible for keeping that address current.
• Notices to us: email to ayushopchauhan@gmail.com.
• Force majeure: neither party is liable for delay or failure caused by events beyond reasonable control (natural disaster, war, terrorism, government action, major upstream vendor outage).
• Headings: for convenience only and have no legal effect.
• Independent contractors: no agency, partnership, joint venture, or employment is created by these Terms.
